A nomination committee announcement for Cybercom's web site

Since the 2008 AGM, Cybercom’s nomination committee consisted of Per Edlund, who represents JCE Group AB (Cybercom’s largest shareholder), Erik Sjöström, who represents Skandia Liv (Cybercom’s second largest shareholder), and John Örtengren, committee chairman, who represents Cybercom’s minority shareholders and is independent of the company and executive management.

The nomination committee proposes that the board consists of five board members and no deputy members, as elected by the annual general meeting (AGM).  These board members are proposed to the 2009 AGM:

Wigon Thuresson (1942) is proposed to continue as Cybercom's board chairman – a position he has held since 2007. Thuresson has held many executive positions in the Swedish business world. He is the former CEO of Hexagon, Fabege, and Sandbolm & Stohne, and most recently was Group president and board member of Sweco, Sweden’s largest technology and industry consultancy. Thuresson contributes valuable, extensive experience from consultancy operations, company acquisitions, and growth initiatives. Thuresson holds 317,400 Cybercom shares.

Thomas Landberg (1950) has been a board member since 2007. He has held various executive and technical positions since 1980 and is the former CEO of Pricer AB, AT&T Nordic (NCR, Lucent Technologies), and Unisys Sweden, and VP of Ericsson Inc. and Ericsson Ltd. Landberg contributes key, comprehensive, international experience from the telecom industry. Landberg has no Cybercom holdings.

 

 

Image of Ulf Körner, Cybercom’s nomination committeeUlf Körner (1946) has been a board member since 2005. He is a professor in the Department of Electrical and Information Technology at Lund University’s Faculty of Engineering. Körner is also a board member of CALE GROUP AB and EAB (Equality of Access Board, an independent oversight group established by TeliaSonera). Körner contributes extensive expertise from the telecom industry, in Sweden and internationally. Körner holds 4,000 Cybercom shares.

He is CEO of the Swedish Space Corporation and has held several executive positions in telecom and IT companies, including Telia Mobile, Telenor, and Marratech. Persson is also a board member of Turn to Törn AB, a family company. Persson has no Cybercom holdings.

Image of Hampus Ericsson, Cybercom’s nomination committeeHampus Ericsson (1972) is CEO of Consafe Invest AB and VP of the JCP Group. Ericsson was a deputy member of Cybercom’s board in 2005–2006. He is also a board member of Consafe Invest AB, JCE Group AB, Green Circle Bioenergy Inc., and Fabienne Group AB (deputy member). Ericsson has previously worked with corporate finance at Enskilda Securities and contributes business-critical knowledge and experience in financing, mergers and acquisitions, and business development. Ericsson indirectly holds 9,936,088 shares (40.5%) in Cybercom via a legal entity. 

The nomination committee believes that Hampus Ericsson is independent of the company and executive management and is not independent of major shareholders.

Per Edlund (1958) declined re-election. He has been a board member since 2003.

The nomination committee’s proposal is based on an assessment of board expertise needed for the coming fiscal year.

No auditor appointment will be made in 2009.

Board remuneration is proposed to be unchanged from last year: SEK 400,000 to the chairman and SEK 200,000 to each of the other members. As before, auditor fees must be paid as per approved invoices.

The nomination committee is unanimous in its proposal.
